Wave Referral Program

Terms and Conditions
Effective date: December 10, 2025

These Terms and Conditions (“Terms”) govern your participation in the Wave Referral Program (“Program”) operated by Wave Connect Inc. (“Wave,” “we,” “us,” or “our”).

By enrolling in or participating in the Program, you (“you,” “your,” or “Partner”) agree to be bound by these Terms.

This Program is also subject to Wave’s main Terms of Service and Privacy Policy. In the event of any conflict between these Terms and Wave’s Terms of Service, the Terms of Service will control.

For the avoidance of doubt, these Terms govern referral eligibility, commission calculation, caps, tracking, and payouts, while Wave’s Terms of Service govern general platform use, accounts, payments, and legal rights.

If you do not agree to these Terms, you may not participate in the Program.


1. Definitions

1.1 “Account” means a Wave customer account created and maintained under Wave’s standard Terms of Service.

1.2 “Partner” means an individual or entity approved by Wave to participate in the Program.

1.3 “Referral Link” means the unique tracking link or referral code provided by Wave.

1.4 “Referred Customer” means a new customer who
a) clicks on a valid Referral Link within the attribution window,
b) completes a qualifying purchase of an eligible subscription plan, and
c) is accepted by Wave as a paying customer.

For clarity, a Referred Customer includes any reactivation, renewal, or subsequent subscription by the same individual or organization, regardless of account status changes.

1.5 “Qualified Referral” means a Referred Customer and related subscription that meets all eligibility, tracking, verification, and payment requirements under these Terms.

1.6 “Pro Plan” means Wave’s standard individual subscription plan.

1.7 “Teams Plan” means Wave’s organizational subscription plan for managing multiple users.

1.8 “Commission” means the monetary reward earned by a Partner for a Qualified Referral, as defined in these Terms.

1.9 “Lifetime” means the duration for which all of the following remain true
a) the Referred Customer maintains an active paid subscription,
b) the Partner remains eligible and compliant with these Terms, and
c) the Program remains active.

Lifetime does not guarantee continuation of the Program or unchanged pricing or discount structures.

1.10 “Actually Paid” means amounts successfully collected and retained by Wave from a Referred Customer, after all discounts, promotions, credits, refunds, chargebacks, reversals, taxes, and third-party processing or platform fees.


2. Eligibility and Enrollment

2.1 To participate, you must
a) be at least 18 years old,
b) have legal capacity to enter into binding contracts, and
c) maintain a Wave account in good standing, unless otherwise approved by Wave.

2.2 Participation is subject to Wave’s approval. Wave may accept, refuse, suspend, or remove any Partner at its sole discretion at any time.

2.3 You represent that all information you provide is accurate, complete, and up to date.

2.4 You must comply with all applicable advertising, consumer protection, privacy, and disclosure laws, including FTC and ASA disclosure requirements where applicable.

2.5 Sub affiliates, multi tier programs, or commission sharing arrangements are prohibited unless expressly approved in writing by Wave.

2.6 You are solely responsible for maintaining the security of your Partner account credentials and for all activity that occurs under your account.


3. Program Structure and Commission

3.1 General Rules

a) Commissions are earned only on Qualified Referrals.
b) Commissions are valid only as expressly stated in these Terms.
c) No Commission is earned on

i. existing or former Wave customers,
ii. your own account,
iii. accounts of businesses you own, control, or manage,
iv. accounts created using the same device, browser, IP address, network, or payment method as the Partner,
v. disposable email, masked IP, VPN, or artificially generated accounts,
vi. customers previously engaged in a Wave sales process,
vii. multiple subscriptions under the same organization or billing entity,
viii. subscriptions resulting from misrepresentation, shadow pricing, or false claims,
ix. accounts paid using stolen, compromised, or unauthorized payment methods.

d) Total Commission earned per Referred Customer is capped at one thousand dollars (1,000) in aggregate over the lifetime of that customer, regardless of plan type, subscription duration, billing frequency, or account changes.

Wave’s determination of referral validity and eligibility is final and binding.


3.2 New Customer Requirements

A Referred Customer must
a) have no prior Wave account of any kind,
b) not belong to a company already using Wave,
c) not share an email domain or billing entity with an existing customer,
d) not have prior communication with Wave’s sales team, and
e) complete the subscription from their own device and browser session.


3.3 Pro Plan Referrals

a) Partners earn 30 percent of subscription fees Actually Paid by the Referred Customer for the Pro Plan.
b) The Referred Customer receives 10 percent off for as long as they remain subscribed, subject to Wave’s right to modify pricing or discount structures at any time.
c) Commissions continue for the Lifetime of the subscription, subject to the per-customer Commission cap set forth in Section 3.1(d), unless terminated due to breach, Program modification, or Program termination.


3.4 Teams Plan Referrals and Commission Cap

a) Partners may earn Commission on Teams Plan subscriptions tracked through a valid Referral Link.
b) Total Commission per Referred Customer is capped at one thousand dollars (1,000) in aggregate over the lifetime of that customer, as set forth in Section 3.1(d).
c) No Commission is paid beyond this cap, including for

i. renewals,
ii. expansions,
iii. user additions, or
iv. upgrades.

This cap applies regardless of subscription duration, billing frequency, or account changes.


3.5 Enterprise or Negotiated Deals

No Commission is paid on
a) enterprise contracts,
b) custom pricing or negotiated discounts,
c) professional services or onboarding fees,
d) multi year or bulk contracts outside standard checkout, or
e) reseller, agency, or channel agreements.


3.6 App Store or Third Party Purchases

For subscriptions purchased through Apple, Google, or other third party platforms, Commission applies only to net revenue actually received by Wave after all applicable platform and processing fees.


3.7 Billing Adjustments

No Commission is paid on
a) downgrades,
b) prorated credits,
c) partial refunds,
d) account credits,
e) billing corrections or adjustments, or
f) promotional pricing windows at Wave’s discretion.


4. Tracking, Attribution, and Disputes

4.1 A referral is valid only if the Referred Customer completes a qualifying purchase within ninety (90) days of clicking the Referral Link.

4.2 Tracking relies on cookies and attribution parameters. Wave is not responsible for untracked referrals caused by browser settings, privacy tools, ad blockers, VPNs, or user behavior.

4.3 If multiple referral sources exist, attribution is granted to the last valid Referral Link used prior to purchase.

4.4 Referrals must originate from the Referred Customer’s own device and internet connection. Partner initiated signups are invalid.

4.5 Wave may request documentation or information to verify referral legitimacy and may audit referral activity at any time.

4.6 Wave may impose referral volume or velocity limits. Referrals that exceed normal patterns may be paused or reviewed.

4.7 Partners may not circumvent or attempt to bypass Wave’s tracking systems.

4.8 Any dispute regarding tracking or Commission must be submitted within thirty (30) days of the relevant event. After that period, Wave’s records are final.


5. Payouts

5.1 Payouts are issued once your approved Commission balance reaches fifty dollars (50).

5.2 Payouts occur periodically, typically monthly, and may operate on a net thirty (30) basis.

5.3 Partners must provide accurate payout information. Wave is not responsible for delays caused by incorrect details.

5.4 Wave may reverse, withhold, or claw back Commissions for refunds, chargebacks, unpaid invoices, cancellations, fraud, or invalid referrals.

5.5 Commissions accrue only after payments have fully settled and passed all applicable refund or dispute windows.

5.6 Wave may claw back previously paid Commissions if a referral is later determined to be invalid, fraudulent, or in violation of these Terms.

5.7 Partners are responsible for all taxes related to Commissions earned.

5.8 If no new Qualified Referral occurs within twelve (12) consecutive months, the Partner account may be closed and unpaid balances forfeited.

5.9 All Commissions are calculated and paid in USD. Any currency conversion or transfer fees charged by payment providers are the responsibility of the Partner.


6. Prohibited Conduct

6.1 Coupon Abuse

Referral Links may not appear on coupon sites, discount sites, browser extensions, or similar platforms.

6.2 Advertising Restrictions

You may not:

a) bid on Wave trademarks or brand terms,

b) use paid ads to direct traffic to Referral Links,

c) run misleading ads resembling Wave branding.

6.3 Automation Prohibited

Bots, scripts, auto-apply tools, traffic rerouting, and automated signup methods are strictly prohibited.

6.4 Misrepresentation

You may not misrepresent:

a) pricing,
b) discounts,
c) features,
d) availability,
e) urgency,
f) affiliation with Wave.

Shadow pricing is strictly forbidden.

6.5 Incentivized Reviews

You may not offer cash, gifts, rebates, or incentives in exchange for reviews or testimonials.

6.6 SEO Restrictions

You may not create content designed to rank for:

a) Wave trademarked terms,
b) “Wave discount,”
c) “Wave promo code,”
d) similar queries intended to capture brand searches or discount-related searches.

6.7 Public Link Dumping

Mass posting of Referral Links on:

forums, deal dumps, subreddits, coupon communities, Discord groups, or similar public channels

may be restricted or grounds for removal.

6.8 No Acting as Support

Partners may not:

a) provide customer support on Wave’s behalf,
b) represent themselves as Wave employees or agents,
c) make commitments or promises related to Wave’s services.

6.9 Legal Compliance Required

All emails, social posts, ads, and content must comply with:

CAN-SPAM, CASL, GDPR (if applicable), FTC/ASA disclosure rules, and all relevant advertising/consumer laws.

6.10 Consequences of Violations

Any prohibited conduct may result in:

a) invalidation of referrals,
b) forfeiture of unpaid Commissions,
c) suspension of payout rights,
d) Partner account removal,
e) disabling of Referral Links,
f) legal action if necessary.


7. Use of Brand Materials

You may use only Wave-approved marketing assets provided directly by Wave.

You may not:

a) modify logos, icons, or brand assets,
b) scrape or copy Wave website content,
c) create unauthorized social media accounts,
d) imply partnership, endorsement, employment, or joint venture with Wave.

All usage must follow Wave’s brand guidelines when provided.


8. Independent Contractor

Participation in the Program does not create:

employment, agency, partnership, joint venture, franchise, or representative status.

You act solely as an independent contractor.

You may not bind Wave in any manner.


9. Program Changes and Termination

9.1 Wave may modify or terminate the Program at any time.

9.2 Changes apply prospectively.

No additional Commissions accrue after Program termination.

9.3 Wave may terminate your participation with or without cause.

9.4 Wave may delay payouts while investigating suspicious activity or violations.

9.5 Wave may remove Partners who create:

a) operational risk,
b) excessive support burden,
c) reputational harm,
d) fraudulent or low-quality referral patterns.

9.6 Continued participation after changes to the Terms constitutes acceptance of the updated Terms.


10. Data Protection and Privacy

You must comply with all applicable data protection and privacy laws.

Wave processes personal data in accordance with its Privacy Policy.

You may not collect, store, or misuse any personal data of referred users beyond what is necessary for Program participation.


11. Limitation of Liability

Wave is not liable for:

a) indirect, incidental, consequential, or punitive damages,
b) tracking failures due to user settings or technical limitations,
c) lost referrals or lost Commissions caused by outages, technical issues, or third-party platforms.

Wave’s total liability under this Program is limited to the amount of Commissions paid to you in the preceding six (6) months.

Partners are not entitled to attorney fees, special damages, or any additional compensation.


12. Indemnification

You agree to indemnify and hold Wave harmless from any claims, damages, losses, or expenses arising from:

a) your promotional activities,
b) your breach of these Terms,
c) your violation of laws or third-party rights,
d) misleading statements or unauthorized representations about Wave.

This includes attorney fees and dispute resolution costs.


13. Governing Law

These Terms are governed by the laws of Quebec, Canada.

Any disputes must be resolved exclusively in the courts located in Montreal, Quebec.


14. Miscellaneous

14.1 These Terms supersede all prior or contemporaneous agreements related to the Program.

14.2 If any provision is deemed invalid, the remaining provisions remain enforceable.

14.3 Failure by Wave to enforce any provision does not constitute a waiver of that provision.

14.4 You may not assign or transfer your rights or obligations under these Terms. Wave may assign these Terms at any time.

14.5 This Program is subject to Wave’s main Terms of Service and Privacy Policy. In any conflict, the Terms of Service will control.
